1. Acceptance of Terms



By accessing or using Shally, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the service.

2. Description of Service



Shally is a cloud-based work management platform for agencies and service businesses worldwide. Our services include:
  • Lead, deal, and customer management (CRM)
  • Project and task management
  • Team collaboration and chat
  • Expense tracking and budgets
  • Automations, integrations, and reporting


    • 3. Account Registration



    Eligibility — 18 years or older:
  • Shally is a business tool intended for adults. You must be at least 18 years of age to create an account or use the service
  • By creating an account you confirm and attest that you are at least 18 years old (this attestation is captured at signup); we may suspend or terminate accounts where this is misrepresented


    • Requirements:
  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • One person or business per account


    • Account Security:
  • Keep your password confidential
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account


    • 4. Subscription and Payments



    Billing:
  • Subscriptions are billed monthly or annually
  • Prices are subject to change with 30 days notice
  • Subscription fees are non-cancellable and the amounts paid are non-refundable, except in the specific cases set out in our Cancellation and Refunds policy
  • AI credits, wallet top-ups and other consumable balances are non-refundable once purchased
  • Full cancellation and refund terms, including refund processing timelines and the original-payment-method rule, are in our Cancellation and Refunds policy, which forms part of these terms and governs where it differs from this section


    • Free Trial:
  • 14-day free trial available
  • No credit card required for trial
  • Full access to features during trial


    • 5. Acceptable Use



    You agree NOT to:
  • Use the service for illegal purposes
  • Upload malicious code or viruses
  • Attempt to gain unauthorized access
  • Interfere with other users' access
  • Use automated systems to access the service
  • Resell or redistribute the service


    • 6. Data Ownership



    Your Data:
  • You retain ownership of all data you upload
  • We do not claim ownership of your business data
  • You can export your data at any time
  • We use your data only to provide the service
  • Personal data you store in Shally about your own clients, leads, contacts and team is processed under our Data Processing Addendum, which applies to all customers and forms part of these terms


    • Our Content:
  • Shally owns all platform features and design
  • Our trademarks and branding are protected
  • You may not copy or modify our platform


    • 7. Service Availability



    Uptime:
  • We strive for 99.9% uptime
  • Scheduled maintenance will be notified in advance
  • We are not liable for downtime beyond our control


    • Support:
  • Email support for all plans
  • Priority support for Professional plans
  • Dedicated support for Enterprise plans


    • 8. Limitation of Liability



    Shally is provided "as is" without warranties. We are not liable for:
  • Loss of data or profits
  • Business interruption
  • Indirect or consequential damages


    • Our maximum liability is limited to the amount paid in the last 12 months.

    9. Termination



    By You:
  • You can cancel at any time from Settings then Billing. Cancelling stops your next renewal; it does not end your access early and does not trigger a refund
  • Your access continues to the end of the period you have already paid for
  • No refunds for partial months, unused annual terms, or mid-term downgrades. See Cancellation and Refunds
  • Export your data at any time while your subscription is active, using the export tools in the product. Do this before your paid period ends, because we may close workspace access at any point once the term is over


    • By Us:
  • We may terminate for violation of these terms
  • We may discontinue the service with 90 days notice
  • If we terminate your subscription for cause, or materially fail to provide the service and do not remedy it within a reasonable period after you notify us, we refund prepaid fees covering the remainder of the then-current term. This does not apply where we terminate your account because you breached these terms


    • After termination:
  • Customer Content and associated personal data are deleted or irreversibly anonymised within 90 days of account termination (typically sooner), except where retention is required by applicable law, as set out in our Data Processing Addendum


    • 10. Changes to Terms



    We may update these terms from time to time. Continued use after changes constitutes acceptance of new terms.

    11. Governing Law



    These terms are governed by the laws of India. Disputes will be resolved in the courts of New Delhi.
